Terms of Use Effective: 26 October 2026 1. Who we are and what these Terms cover Prep and Chef is operated by Fox Labs Limited, a New Zealand company, NZBN 9429053694737. Our correspondence address is 62 Hector Street, Seatoun, Wellington 6022, New Zealand. Contact support@prepandchef.com (mailto:support@prepandchef.com). These Terms govern the Prep and Chef service in our iOS app, web app and public website. The app is initially offered in New Zealand, Australia and the United States. Apple's Standard Licensed Application End User License Agreement (https://www.apple.com/legal/internet-services/itunes/dev/stdeula/) governs the app software licence; Fox Labs Limited is the application provider. Apple is not responsible for providing our service or customer support. You agree to these Terms when you take the account or purchase action accompanied by our agreement notice. Our Privacy Policy (https://prepandchef.com/privacy/) explains how we handle personal information. Acknowledging that policy is not blanket consent to optional marketing, health-data uses or other processing that requires a separate choice. Where we rely on your consent, you can withdraw it by emailing support@prepandchef.com (mailto:support@prepandchef.com). You can also use that address to exercise any applicable right to object to processing. A privacy request does not itself cancel your account or subscription. We will explain any effect of withdrawing consent on a feature that needs the information. Processing needed to provide the features you request, administer purchases, protect security or comply with law may continue on an independent lawful basis. See the Privacy Policy (https://prepandchef.com/privacy/) for details. 2. Your consumer rights Nothing in these Terms excludes, restricts or modifies a right, guarantee or remedy that cannot lawfully be excluded, restricted or modified. This applies to every section, including service changes, suspension, refunds and responsibility for loss. New Zealand consumers have applicable rights under the Consumer Guarantees Act 1993 and Fair Trading Act 1986. Australian consumers have applicable rights under the Australian Consumer Law, including guarantees that cannot be excluded. Depending on the problem, those laws may entitle you to a remedy such as having a service failure corrected, cancellation, a refund or compensation. US consumers retain applicable federal and state protections. Contact us if you believe the service has not met those requirements. Apple's billing and refund processes do not remove our responsibilities to you. 3. Eligibility and your account You must be at least 18 to create an account or subscribe. An account is not required to read the public website. The app requires an account to save and sync your library. Provide accurate account information and protect access to your sign-in method and devices. Tell us promptly if you suspect someone is using your account without permission. We do not ask you to send us your sign-in codes or passwords. 4. Free and Premium features The free plan includes up to 10 saved recipes, meal planning, shopping lists and device sync. Premium includes these features, allows more than 10 saved recipes, and adds nutrition insights, printing and PDF export. Imports and processing may have reasonable operational limits to protect service availability and prevent abuse. An import may fail because a source is unavailable, access is restricted or its content cannot be processed reliably. A subscription does not grant access to a publisher's paid or restricted content. When Premium ends, you keep access to your saved recipes and can continue editing them. Premium-only features become unavailable. If you have 10 or more saved recipes, you cannot save another recipe until you reduce your library below 10 or resubscribe. We do not delete your recipes solely because your subscription ends. 5. Subscriptions, renewal and cancellation Premium is normally offered as an automatically renewing annual subscription. Eligible subscribers may be offered a seven-day free trial or a discounted first month followed by the annual subscription. A monthly option may be offered in New Zealand and Australia when an introductory offer is unavailable. Options and eligibility vary by storefront and purchase history. The purchase screen and Apple's confirmation sheet show the available offer, price, currency, billing period and any introductory terms before you buy. Those disclosed terms apply to your purchase. Apple charges your Apple account and processes subscription payments. Your subscription renews automatically unless you cancel. A trial or introductory period converts to the paid subscription shown before purchase unless cancelled in time. Manage or cancel through iPhone Settings → your name → Subscriptions, or Apple's subscription settings (https://apps.apple.com/account/subscriptions). Cancel before the renewal charge; for a free or discounted trial, Apple advises cancelling at least 24 hours before it ends. Check the date and instructions shown by Apple for your subscription. Cancellation stops future renewal. You normally retain Premium for the period already paid for. Apple may end access to a free trial when you cancel it. Deleting the app or your Prep and Chef account does not cancel your Apple subscription. Your subscription belongs to the Apple account that paid for it. A purchase made before you sign in is linked to the Prep and Chef account you sign in to next. Restoring purchases while signed in to a different Prep and Chef account moves the subscription to that account. Signing out does not cancel your subscription. If a payment fails, access depends on the subscription status supplied by Apple and our subscription service. Use Restore purchases if an existing purchase is not recognised, and contact us if you need help. See Subscription Details (https://prepandchef.com/subscription-details/) for a summary and cancellation links. 6. Refunds and price changes For an App Store purchase, request a refund through Apple's refund process (https://reportaproblem.apple.com/). Apple handles the App Store refund transaction. We do not offer an additional voluntary money-back guarantee. This does not limit a refund or other remedy you are entitled to under applicable law; contact us if you need help pursuing such a remedy. We may increase subscription prices for future renewal periods. An increase will not change the price of a period you have already paid for. We will honour any applicable offer or commitment to preserve your price. We will give you advance notice of the new price, when it will apply and how to cancel before you are charged the higher price. If applicable law or Apple's rules require your consent, we will obtain it before applying the increase. You can turn off auto-renewal through your Apple subscription settings before the higher charge. 7. Your content and limited permission to operate the service You retain any ownership rights you hold in content you add. Importing a recipe does not transfer a publisher's or creator's rights to you or to us. You must have the rights or other lawful basis needed to provide, use and share the content in the way you choose. You give Fox Labs Limited a non-exclusive permission to host, copy, process, format and transmit your content only as needed to provide the features you request, maintain and secure the service, and comply with law. Our service providers may perform those tasks on our behalf. This includes recipe processing, syncing across your devices and delivering a share you initiate. It does not authorise us to publish your private library for marketing or train AI models on your content. This permission ends when your content is deleted from our systems, except for the limited processing needed to complete deletion, retain records lawfully or maintain copies another user has already received through your sharing action. The Privacy Policy (https://prepandchef.com/privacy/) explains deletion and retention. Third-party content remains subject to its owners' rights; your permission cannot give us rights you do not hold. 8. Private recipes and sharing Your recipes are private by default. Sharing starts when you choose to create and send a share link. A person with the link may forward it. The link is not restricted to a named recipient. A public share preview shows the recipe title and Prep and Chef branding. A recipient needs a Prep and Chef account to receive the recipe. Where a working source link is available, we re-import from that source for the recipient; otherwise, eligible shared recipe fields are delivered as a copy. Private notes are not included in the shared recipe. You can revoke a link to stop future use of it. Revoking a link, changing your recipe or deleting your account does not recall copies recipients have already saved or previews retained by messaging and other external services. Those services may cache previews independently. Do not share content you are not entitled to share or include another person's private information without a lawful basis. Contact us (https://prepandchef.com/copyright/) about copyright, privacy, abuse or other content concerns. 9. Imports and temporary reuse of public-source results When you import an eligible recipe from a public source, we may temporarily retain processed cooking information, such as ingredients and preparation steps, so another user importing the same source can reuse the result. This makes repeat imports faster and reduces repeated processing. It does not make your saved library or personal edits available to other users. We may reuse an eligible result without fetching the original page again. It reflects the source when processed and may not include later changes. A shared entry is available for reuse for up to 30 days from its creation from freshly fetched and processed source material. Reuse does not extend that period. Entries expire automatically and may be removed sooner. After expiry, a later import requires a fresh fetch and eligibility check. Private uploads, scans, personal edits and content captured through the in-app browser are excluded from this shared cache. Expiry of a shared entry does not delete your saved private copy. We preserve source attribution where available. Public accessibility is not a promise that every item is licensed for every use, and the cache does not confer third-party rights. Contact support@prepandchef.com (mailto:support@prepandchef.com) to request removal of affected content. 10. Recipe processing, nutrition and food safety We use automated tools, including AI, to help extract recipes and estimate nutrition. Results can omit or misinterpret quantities, ingredients, allergens, preparation steps and other details. Check an imported recipe against its source before relying on it. Nutrition insights and recipe scores are estimates about the recipe, not a diagnosis, medical advice or an assessment of your individual dietary needs. Do not rely on them to determine whether food is safe for an allergy or health condition. Check ingredient labels, cross-contamination risks and relevant professional advice. Follow current food-safety guidance and use appropriate equipment, such as a food thermometer. These practical cautions do not exclude our responsibility where the law makes us responsible for a service failure or loss. 11. Acceptable use and intellectual property Use the service lawfully. Do not infringe another person's rights, upload malicious material, harass others, bypass access restrictions, interfere with service security, or use automated access that disrupts the service. Do not attempt to access another user's private content. Fox Labs Limited and its licensors retain rights in the app, branding and original service materials. You may use them as needed to use the service. These Terms do not give you permission to resell the service or reproduce protected materials beyond what the law or the relevant licence permits. Rights in third-party recipes, photographs and other material remain with their owners. 12. Suspension, ending the service and responsibility We may restrict an account or remove affected content where reasonably necessary to address a material breach of these Terms, unlawful content, fraud, a security threat or a legal obligation. We will use a proportionate response and explain the reason and available next steps where lawful and practicable. If the issue can reasonably be fixed, we will normally give you an opportunity to fix it before terminating the account. Urgent action may be necessary to prevent harm. You may stop using the service or request account deletion (https://prepandchef.com/delete-account/) at any time. Once we accept your deletion request, your account closes immediately and cannot be reopened. The request cannot be cancelled, and support cannot restore the account. Deletion of account data follows in the background, subject to the limited retention explained in our Privacy Policy (https://prepandchef.com/privacy/). Subscription cancellation is separate. Any restriction, termination or withdrawal of the service remains subject to your consumer rights and our commitments concerning an already-paid period. We will exercise reasonable care and skill in providing the service. We cannot promise that it will always be uninterrupted or that every imported or automatically generated result will be error-free. Keep copies of content that matters to you. We are responsible for loss to the extent required by applicable law; nothing in these Terms imposes a monetary cap on rights or liabilities that cannot lawfully be limited. 13. Changes We may update Prep and Chef and these Terms for legitimate reasons, including improving the service, maintaining compatibility, security and legal compliance. We will give reasonable advance notice of changes that materially disadvantage you, explaining their effect and when they apply. Such changes will not apply during a Premium period you have already paid for. You can turn off auto-renewal before your next charge. Where a change requires your consent, we will obtain it before applying the change to you. We may act sooner where necessary to comply with law or address an urgent security risk, and will explain the change as soon as reasonably practicable. This exception does not remove your statutory remedies or allow a price increase during an already-paid period. The separate price-change notice and consent requirements still apply. 14. Disputes and governing law If you have a concern, please contact support@prepandchef.com (mailto:support@prepandchef.com) so we can try to resolve it. Contacting us first is optional and does not restrict your access to courts, tribunals, small-claims processes or regulators available under applicable law. These Terms are governed by New Zealand law, subject to any mandatory protections that apply to you under the law of your country of residence. New Zealand courts have non-exclusive jurisdiction. Nothing in these Terms removes any right you have under applicable law to bring proceedings in your local courts or tribunals. These Terms do not require arbitration or waive any right you have to participate in a class action or to a jury trial. We may agree with you to mediation or arbitration after a dispute arises. 15. Severability If any provision of these Terms is invalid or unenforceable, it will be separated from the remaining provisions to the extent permitted by law. The remaining provisions will continue to apply to the extent permitted by law.
